Watford legend Graham Taylor fears his beloved club will go into administration after the Russo brothers resigned from the board and demanded their £4.88m loan be returned with immediate effect.

Former Hornets chairman Jimmy Russo, his brother and vice chairman Vince and their business colleague Robin Williams stepped down from the board at this evening's AGM of the club's parent company Watford Leisure Plc.

The trio only joined the board at the beginning of this year but decided to step down before they were pushed.

Jimmy Russo accused his fellow board members of attempting to “oust” the trio and was aware major shareholders Lord Michael Ashcroft and former chairman Graham Simpson were planning to vote them off the board any way, as they have a combined shareholding of around 54 per cent.

Once he had announced his resignation, Russo confirmed his company Valley Grown Salads would be demanding the repayment of the £4.88m loaned to Watford with immediate effect.

This means that unless the Hornets' board can find the funding needed, there is a chance the club could go into administration before Christmas.

Taylor was appointed on to the board by the Russos and when they stood down tonight, the club's most successful manager in history became acting chairman for the AGM.

Former England manager Taylor said: “Whatever happens, we are at a very crucial time in this club's future, it goes without saying.

“Now we can all look back and decide who we want to blame for this and say this and that but the reality is that there is not going to be much gained, in fact I can't see anything being gained, if we keep referring back to whatever has happened for whatever reasons.

“I believe in looking forward, I believe this is what it is, this is the reality.

“We have to face up to it, we are threatened with administration and the demand from Jimmy and Vince for their money to be returned will put us into administration. I make no bones about saying that because that is a reality.

“They did put the money into the club and they will have their side of the argument but at the present time, by demanding their secured loans, unless somebody comes to our rescue, we will go into administration.”

On November 26 Valley Grown Salads lent Watford £1m but that will only last until next Tuesday and the Hornets need to raise £5.5m before January.

As recent as October it was hoped this may be done via a rights issue with major shareholder Lord Ashcroft.

However the deputy chairman of the Conservative party was apparently reluctant and negotiations between the different parties stalled.

That was until the Russos made an offer to buy the club, which seemed to reignite discussions between Lord Ashcroft, Simpson and Watford FC – with Russo describing developments as a “100 per cent positive step” on Thursday.

However, the personal problems between the Russos and the other two major shareholders were always going to make negotiations difficult – especially following Simpson's dramatic resignation from the board at last year's EGM.

The Watford Observer understands Lord Ashcroft and Simpson were going to vote the VGS trio off the board regardless tonight, which was one of the reasons why they decided to walk.

When addressing shareholders this evening, Russo said: “You have seen the recent announcement that this company is unable to pay its creditors and if no rescue package has been agreed by the 22nd of December then an administrator will be appointed.

“We have spent nearly a year to get the major shareholders to participate in a funding requirement but with no success.

“We have had to provide funds on three occasions to avoid administration and I don't think anybody in this room can say that both my brother and myself and Valley Grown Salads have not given it our total commitment.

“As 30 per cent shareholders, we do not think that it is right that we should be 100 per cent providers.

“Some six weeks ago we made a formal rescue offer to the board, to which to this day we still have not had a formal reply.

“The major shareholder has repeatedly refused to meet us to hammer out a deal to save the club. The request for a poll vote on the resolution appears to me to be an obvious move to oust VGS members from the board.

“We have therefore all decided to resign as from now. I am really sorry. I am probably as upset as you guys.

“As a consequence, we have now made a formal demand for immediate repayment of our loan.”

Russo did achieve some success as chairman and claimed he had done his best for the club.

He said: “I am not quitting because I am a quitter. When I do something I need the support of everybody around me. I don't want to be doing something and then have knives in my back. I don't need that.

“I will give respect and I need respect back. What the previous regime done is nothing to do with me.

“I took the poison chalice and battered on, done the best I can and that goes for both my brother and myself.”

After the VGS trio stood down, the three remaining board members attending, excluding the absent David Fransen, went for a board meeting for around 15 minutes before returning.

It was then announced Watford legend Taylor would be chairing the meeting and it was clear he was unhappy with the way Russo conducted himself.

Taylor said: “It is a total surprise, the resignation of the three people. It would have been helpful if the board had known about this before the meeting.

“I believe the former chairman is now doing an interview with Sky TV...

“There has been outline proposals from VGS and Fordwat. The board set up a committee under the chairmanship of Stuart Timperley to evaluate the proposals and make recommendations to the board with regards to the way forward – I sat on that committee.

“The board and committee has met to consider but as of yet no decision has been taken.”

Surprisingly the Russos are still keen to purchase the club and a VGS representative told shareholders: “If the group becomes insolvent, everybody loses. The player contracts become liabilities, not valuable assets.

“The club loses ten valuable points. The stadium would have an insolvent tenant so it wouldn't be worth as much in value.

“We wanted to meet Fordwat but they have so far declined to meet us and negotiate a financial package to stabalise the group and that remains the case.

“As a last resort, rather than seek a loss of value through insolvency, Valley Grown Salads is willing to buy the club from Watford Leisure and finance the whole of that £5.5m commitment to preserve it.

“That offer remains on the table but time is running out. Fordwat have representatives here tonight and I would be very happy to meet them after the meeting to see if something can be done to save the club.

“Valley Grown Salads wants to save the club and save Watford.”

Russo called out the representatives of Lord Ashcroft during the AGM but there was no sign of them.

The £4.88m owed to VGS is secured against the Vicarage Road Stadium, which means the Russos could sell the ground if they are not repaid their money.

A few weeks ago Russo said it would be a disaster if Watford did not own their own stadium.

When asked by Sky Sports News afterwards if the ground may now fall into the hands of someone not connected to the club, he replied: “Hopefully not. Hopefully we can find somebody to take over and find somebody who is able to inject the amount of money required and that would be right for the business.”

Despite his bullish actions tonight, Russo seemed emotional as he resigned from the board, saying: “On a personal note, I want to thank everybody who has been really good to me and I appreciate all the nice comments and everything.

“I am genuinely sorry I will not be involved in the future, so thank you.”

I also heard ahead of the AGM that they were going to be voted off...again. If you know you are going to get ambushed in that way I don't blame them at all for taking the initiative and resigning without notice rather than waiting to be humiliated. The way these guys have been treated is not what Watford FC is about.

There must be more to all this than meets the eye. On the face of it the whole thing stinks but Graham Taylor is still at the club and I would like to think that if things untoward were going on ,he would jump ship.
I think the next few days will reveal quite a bit.

Wake up people - is it a coincidence that less than a month ago, after months of positioning themselves, the Russos managed to make it acceptable to the board to secure their loan(s) to the club against the ground? Now, without consulting the other members of the board they resign? Does everyone truly believe that this decision was made off the cuff or even in the last month? Nothing has changed, Lord Ashcroft and Simpson have had a combined shareholding of 54% throughout and clearly the Russos have known for months that there was a real chance that they would be ousted. So they planned their exit strategy by guaranteeing a return on their already committed funds. Smart Cookies. I think they brought sound management to the club which I'm thankful for, however make no bones about it, better running of the club was a bi-product of mitigating their risks.

There were always going to be issues with the Russos running the club but not having the majority shareholding. I think this is still brinkmanship, and hope that Ashcroft and Simpson sell up and let the Russos get on with it. Its just a pity that all this detracts from what has been a pretty good footballing season compared with what we expected might happen.

If Simpson and Ashcroft's gambit was to vote off the Russo's AND turn down the buyout plan then they must have an alternative strategy.

If the club goes into administartion ALL shareholders lose so that surely is not part of their plan. I'm amazed Simpson in particular didn't accept a bid for his shares. He is a paraih at the Vic and no loger welcome by most fans.

Oh dear! I suppose we will all have our own (usually ill-informed) opinions but my sympathy is totally with the Russos.Simpson and the Belize Non-Taxpayer have just sat back and watched the Russos feeding the club with their money and were just waiting to pounce.
Frankly I would rather have us in the Conference League than have Simpson back!!

Look at where the sides are coming from.

Homer a reasonable shareholding, when in power makes a horrific mess of it, misleads fans, shareholders alike with chat of ring fencing, prudent management and large salaries and quick repayment of loans. Turns down the chance to sell and all he wants to do is vote off the current management. Possibly vengeful and apparently a WFC fan. Do we really want him back.

Ashcroft, a very odd shareholder. Came in because he could possibly see a good investment, had board representation whilst the three amigos wrecked our club, tacitly allowed the Russos into power and then sat on his hands and did nothing except obstruct and create an environment that made it virtually impossible for the Russos to properly sort out the club.

Then there were the Russos fell out with Homer over his mismanagement unlike Fordwat. Based around their 30% kept trying to buy out others and pumped secured money into the club and tried to repair the years of mismanagement. They failed because over 50% of the shareholders wouldnt support a rights issue (biz please comment or apologise at least). In fairness they have gone as far as they can and have now put a pistol to the other shareholders heads.

What will happen:
Maybe administration with the Russos or Fordwat in position to buy us out and we suffer ten points deduction and a sale of players and some loanees being recalled.

Ashcroft might agree to sell to the Russos or buy out the Russos pre administration thus avoiding the ten point deduction.

Or we go into administration and then liquidation. Close down the ground be redeveloped and a club gets saved from relegation to the conference.

Three things we can do:
Never ever use any services again from companies owned by Ashcroft or Simpson.
Ensure david Cameron is made aware that Watford will not swing his way thanks to Ashcrofts behaviour.
Sit tight and pray whilst watching the strategies of all parties in the next few days.

Finally a message to GT...sorry you were dumped on but hey fella you hadnt worked solidly for a year trying to sort this club out with those ***** Ashcroft and Simpson thwarting every move and VoR Homer has revealed his true colours.

What a sad state of affairs, were the Russo's right to resign? Well if they were going to be voted off by Simpson and Lord A anyway can you blame them for jumping before they were pushed? And can you blame them for being fed up with having to shoulder the entire financial burden of keeping the club going whilst the other 2 shareholders didnt lift a finger?

So what happens now? I guess a lot of talks between the parties, or if they hate each other that much maybe not. Lets just hope they can put aside their own personal animosities and get something sorted out for the good of the club. AND DO IT NOW PLEASE. I hope that Lord A and Simpson do sell to the Russo's, I think they have done a great job the past year and trust them to take the club forward. I dont trust the other 2 especially as they led the club into trouble in the first place and then have been happy to let it, and indeed help it struggle the past year.

Good post from Chris at 8.31. There is a suggestion on here from kennychiwa that the Russo's secured their loan against the ground to make a profit. There is a simple response to this. The profit lies with interest only unless an administrator transferred the ground cheaply against their loans. No administrator would do this. The likeliest scenario is that someone rich enough will buy the ground and rent it back to WFC and Sarries at some extortionate rate. I have even heard figures suggested which amounted to a return pushing towards 19%. Who may that be? Is this what GS and the Tory were waiting for. Is Nigel Wray involved in this? Either way, my guess is that in the fullness of time we will wish Jimmy and Vince were still at the helm. They may not be perfect but they are the only parties who communicated openly and honestly with the fans.

Chris the Vic - excellent post.

All my sympathies go with the Russos, but as you say their weakness was only having 36% of the shares. Like you I despise Homer for the havoc he wreaked on the club, especially for his weakness in allowing Cashton to destroy everything that was good at WFC, and for believing Hoofy was the next Fergie.

It was interesting to note that the loudest cheer given last night was when Vince said he'd saved the club paying Cashton £300k.

In the Russos position I'd be doing the same. They've called Homer and Ashcrofts bluff and it could cost them a fortune to rescue their investment.
1. To repay the Russo's loan £4.88m
2. To finance the club to the end of the season £5.5m
3. To buy out the Russo shareholding £5m?
So it could backfire and cost Homer/Ascroft over £15m. BUT do we want Homer back in charge. NO ******** WAY. I never want to see his arrogant smirking face at the Vic ever again.

Watch this space, the next few days are going to be very very interesting.

By the way did you see how Vince ducked the questions around Sarries and the ground? If they were the buyer WFC would become the tenant. Not a happy prospect.

The russo's have made it clear the tory is the only person who can save this club.

the tory made a mint from the abomination of the flats on our ground "regeneration of west watford" is exactly the hideous sight you see as you walk to your seats.(i say you see but i doubt any real fans post on this forum)

I suggest watford fans unite in the election and make it clear that we relise how much this tory cash grabber has distroyed our club.

A protest vote is a must to save this club. I suggest a banner for future games saying we want tories out!

We could be bust by the next election anyway and and according to most pundits the Tories will easily gain power not gaining a seat won't make much difference.

I doubt few people outside us fans care about us very much at all TBH.

I don't actually live in Watford so have no idea what non-WFC supporters will vote for but I don't think Labour are very popular are they?

Well,well,well.You all seem to trust the Chelsea supporters.Wake up, they know full well that any loans they have made are gilt edged,that is why they made a "charge" on our freehold.For sure the Russoes won't lose any money on their profitable investment and would not have any conscience if our pitch becomes another "affordable housing" project.As far as I am concerned the Russoes say what fans want to hear not state the true facts.If they really care about OUR club,why the blackmail of demanding their money back immediately,rather than give us a year's grace.After all they have a nice little earner with the interest rates the are charging the club.If I am in the vast minority in not trusting the Russoes then I can live with that.What I can't live with is people(or person) who ought to know better keeping their traps shut,then pretending our plight was a surprise to them,but dosh in the hand is all important to some people.

Can I kindly point out that actually I don't live in Watford so me voting for whoever won't make the slightest bit of different to who gains control in Watford..

I was only suggesting the Tories missing out on a seat here MAY NOT make much difference to them if you believe the reports that they will easily pass Labour.

It would make a local impact on the local MPs but I am sure in reality Mr Cameron and co are that bother by events with us.

Most of us fans cannot do much part from support the team and hope for a resoulution because by the time any election comes around it might all be too late

The profit made by the Russos on the loans is a tidy enough return I would think? I hadn't suggested the ground would be transferred to the Russos, merely that by converting all existing loans into a secured debenture it meant that they moved up the pecking order of creditors ahead of all other shareholders. The last £1M instalment in effect meant nothing, the Russos already knew we would hit the wall and were looking for a guarantee on getting their previous loans returned in the event of administration - fair play to them, I would do the same, but it doesn't help the Club as that money now HAS to be repaid in full whereas without the security they could have ended up with pennies in the pound.

The Russo brothers have put alot into watford, and to be honest why wouldn't you resign if you knew you was going to be voted out anyway, and if its true that they want to buy the club then I say let them, seen as the other two main shareholders arent willing to put their hand in their pockets.
Lord Ashcroft will only lose out if we do go into administration, why would you invest in a club if your not willing to put the money in?.

Just what has Lord Ashcroft been guilty of? As a business man he invested in Watford FC hoping to get a return.He has never professed to love WFC or for that matter ANY football club unlike the Russoes with their support for Chelsea.Why did they give financial support our Club? For one reason only to hope to get a good return,hence doing no more than Ashcroft.It would be illuminating to find out just who is milking the system at the Vic and it isn't just the players but others with their snout in the trough.Even the one who professes to love our Club has waited long enough before saying anything,or does being a non executive director make him mute?

I think the Russo's have finally shown their true colours, and they aren't yellow, red and black. That they have demanded the loan money back by the end of today clearly shows to me that they only care about themselves, and don't have the best interests of the club at heart at all. Why don't they wait until the 22nd December, when we would go into administration anyway if no solution is found?

As I see it, there are two offers on the table that would save the club (one from VGS, and one from Fordwat Ltd), but both sides would rather let the club go into administration that sell to the other. None of them care about the club I'm afraid.

Sandridge, bomber etc you are way off the mark.

A minority shareholder pumps secured money in and you criticise them.

Please wake up and think.

1. They put money in to keep my club going
2. The others havent loaned us a penny at the moment
3. If the others had wanted to stop the secured loan they could have voted the Russos off earlire and replaced the loan with theirs and they still could.
4. At the AGM they wanted the Russos off but with no intention of replacing them and thus leaving the club with no leadership.
5. What are their reasons for doing this, is to to get some sort of revenge over the Russos or the club?
As with most things there is no transparency with Ashcroft and Simpson.
6. Finally all your criticisms aimed at the Russos are that they look after their own interests, well so do the other two but in the case of the Russos they have looked after our interests better than the others.

As for trust..I admit to not trusting any of them totally but in all honesty the russos have proved to date to be the ones we can rely on.

and then we await for the supporters trust to voice an opinion (hopefully that will be written on soft paper)

Be sure Russo will want more out of the club than he's given...he is a business man so this is to be expected. Does he really care the club and the people involved in running the team the players the adacemy the club itself? NO!!!. He's p****d alot of people off at the club!

If he cared about the club he wouldnt have cut the funding for the academy and Harefield. Both are proven and great assets for the WFC.

Don't trust anyone who does not have a real connection with the 'orns.
Business folk love to have their egos scratched at sports clubs but it does not mean they have the love for our club. Only one who cares about club is Elton but even he cannot be expected to throw money at a leaky bucket. All we can really do is support our team...... where ever they end up.

I think it's a matter of business sense not national or local politics, here we have a club in desparate need of funding, the minority shareholder funds the club on several occassions for over a year to keep it going, while the majority shareholders do jack, ultimately wouldn't you secure any loans you gave in those circumstances against the ground it's called insurance, especially when you have no real control over your destiny, especially when their is no trust between the parties, when push comes to shove and the main shareholders won't stump up any funding at the last chance saloon, so the Russo's have done what anyone would do and that is adopt the same F*** you attitude towards the main men, VGS have security against the ground, Homer and Ashcroft have the trading name of WFC, which without a ground to play on is not worth a carrot. lets hope we don't have to loose the hard fought points because some rich bast**d want to dabble with our club.

Sev you are obviously a man who understands what a well run and succesful club should do...that is as long as it is not your money.
A failure by employees of the club to understand cash flows has got us to where we are and there are 13000 people plus who are extremely annoyed with those employees, and btw directors are employees.

Chris - selling the players is a must for the club and always will be unless there is significant input from an investor. However, to put nothing back for the future and rape the programs in place of funds is madness and ignorance. It is not the employees at the club who are to blame! Your comments are poor and misdirected toward hard working coaches and staff, some of whom have left sacked or resigned. Do you not think it should be toward to Russo who is pulling the strings?

Please re-visit the objective points that Chris makes - you are forgetting that any difficult decisions made by Jimmy have been created by the disastrous legacy of the former regime. What is it about the club burning 1m a month that you do not understand??!

I think the Russo's have done a decent job in difficult circumstances.

Its interesting to note that the board, whoever that is, are considering offers from VGS and Fordwat.
Pressumably each of the offers includes a proposal to purchase the other groups shares for a discounted price.
The Russo's position seems reasonably good given the security over the ground but I guess the Lord didn't accumulate his billion by being anything other than ruthless.
Should be an interesting few days but so tragic that they are gambling with OUR club.
I can't believe that Simpson could possibly return as chairman.

I feel really sorry for Malky and Sean and hope their terrific work to date doesn't get rewarded with administration and a ten point deduction.
Incidentaly I thought the WO were surprising slow in reporting last nights events.
The 3 Counties site reported board resignations around 8.00pm but nothing until this morning from WO?

Following a meeting this afternoon, the Chairman, the Board of Reading Football Club and Brendan Rodgers have agreed by mutual consent that Brendan Rodgers will leave his position as First Team Manager with immediate effect.

Reading Football Club will make no further comment at this stage.
